Affiliate Agreement

This agreement explains the rules and responsibilities that apply when participating in the 3D Labs Nutrition Affiliate Program.

This Affiliate Agreement governs your participation in the 3D Labs Nutrition Affiliate Program, including your use of referral links, promotion of our products, and eligibility for commissions.

This Agreement has not been reviewed or approved by legal counsel. We may update it periodically, and changes become effective when posted on this page. Your continued participation in the Program after an update constitutes acceptance of the revised Agreement, where permitted by law.

Agreement and Eligibility

1. Agreement and Acceptance

Applying for, accessing, or participating in the 3D Labs Nutrition Affiliate Program (the "Program") constitutes your agreement to this Affiliate Agreement (this "Agreement"). Participation remains subject to approval by 3D Labs Nutrition, LLC ("3D Labs Nutrition," "we," "us," or "our").

The Affiliate Program page, the affiliate dashboard, current program settings, and any incorporated policies may provide additional operational information about the Program, but this Agreement governs your participation.

2. Eligibility and Application Review

To apply for and participate in the Program, you must:

Provide accurate and complete information in your application and affiliate account
Have the legal capacity to enter into this Agreement
Maintain valid contact and payment information
Comply with applicable laws and the rules of any platform you use to promote the Program
Receive program approval before participating

If you are not legally able to enter into a binding agreement on your own, you may participate only through an authorized parent, guardian, or legally responsible business representative, where permitted.

Submitting an application does not guarantee acceptance. Applications are reviewed individually, and 3D Labs Nutrition may accept or decline any application in its discretion.

Account, Referral Links and Orders

3. Affiliate Account and Dashboard

Approved affiliates receive access to the GoAffPro affiliate dashboard. You are responsible for:

Protecting your login credentials
Keeping your profile and payment information current
Reviewing notices posted in your dashboard
Reporting any unauthorized access to your account
Using only your assigned or approved referral tools

4. Referral Links and Tracking

Approved affiliates receive unique referral links. The current verified browser referral-tracking window is 89 days.

This tracking window is not a promise that any particular link or account remains active forever, and it is not a guarantee of permanent or lifetime referral attribution. Attribution depends on the Program's current tracking settings, and may be affected by browser settings, deleted cookies, device changes, blocked tracking technology, multiple referral sources, or other technical limitations.

3D Labs Nutrition does not guarantee that every click or purchase will be tracked or credited.

5. Qualifying Orders

Commissions may apply only to qualifying orders that are:

Properly attributed to your referral link
Completed and paid
Nonfraudulent
Compliant with this Agreement
Free of prohibited self-referral or incentivized-referral activity

Orders that are canceled, returned, refunded, disputed, fraudulent, or charged back may be excluded from commission, reversed, or deducted from your account, including after payout.

Commissions, Payments and Taxes

6. Commissions

Current commission rates, tiers, and eligibility rules are displayed in the affiliate dashboard or communicated through official program materials. 3D Labs Nutrition may change commission rates or program structures prospectively.

Participation in the Program does not guarantee earnings, and past results do not guarantee future results. You earn commission only on qualifying transactions, and no commission is owed on prohibited or improperly attributed activity.

7. Payments and Payouts

Available balances and payout information appear in your affiliate dashboard. Payments remain subject to verification and compliance with the Program's requirements.

3D Labs Nutrition may withhold or adjust amounts connected to fraud, violations of this Agreement, refunds, disputes, or processing errors. You are responsible for keeping your payment information accurate and current. Processing by third-party payment providers may affect payout timing.

8. Taxes

Affiliates are independent participants responsible for providing requested tax information, paying applicable taxes, maintaining appropriate records, and complying with local reporting obligations.

3D Labs Nutrition may request a W-9, a form in the W-8 series, or another appropriate tax document depending on your location and status. 3D Labs Nutrition does not provide individual tax advice; consult a qualified tax professional with questions about your own obligations.

Disclosures and Promotion Rules

9. Required Affiliate Disclosures

You must clearly and conspicuously disclose your material connection to 3D Labs Nutrition whenever you promote or recommend our products. Your disclosure must comply with:

FTC endorsement requirements
Applicable advertising and consumer-protection laws
Platform-specific disclosure rules
Other applicable local legal requirements

Disclosures must appear near the relevant recommendation and must not be hidden solely in a profile, footer, hashtag block, or separate page. Any clear and conspicuous wording that satisfies these requirements is acceptable — there is no single mandatory phrase.

10. Accurate Product Promotion

You must make honest and supportable statements about our products, using current official product information. You must not:

Use misleading before-and-after claims
Fabricate testimonials or reviews
Imply personal use of a product when untrue

You must correct outdated or inaccurate promotional information when notified. You may not claim that any product diagnoses, treats, cures, or prevents disease.

11. Prohibited Activities

You must not engage in:

Self-referrals
Fraudulent orders or identities
Spam or unsolicited bulk messaging
Misleading discounts or fake coupon claims
Unauthorized incentives for using your referral link
Cookie stuffing
Forced clicks or hidden redirects
Adware, spyware, or malicious tracking
False scarcity or deceptive earnings claims
Trademark impersonation
Creating accounts that appear to be officially operated by 3D Labs Nutrition
Purchasing domains, usernames, or social handles likely to cause brand confusion
Manipulating attribution
Violating privacy, advertising, platform, or consumer-protection laws

This section does not prohibit ordinary honest sharing of your referral link or promotions approved through the Program.

12. Paid Advertising and Search Marketing

You must receive written approval from 3D Labs Nutrition before:

Bidding on 3D Labs Nutrition trademarks or close variations in paid search
Running advertisements that direct-link through an affiliate URL
Representing an advertisement as an official 3D Labs Nutrition advertisement
Using branded domains, landing pages, or accounts that could cause confusion with 3D Labs Nutrition

This section does not prohibit all paid advertising; it requires approval for the categories described above, consistent with current program rules.

13. Email, Text, and Direct Messaging

If you promote the Program by email, text, or direct message, you must comply with applicable privacy and marketing laws. You must not:

Use purchased or harvested contact lists
Use a deceptive sender identity
Send unsolicited bulk messages
Omit a required unsubscribe mechanism
Impersonate 3D Labs Nutrition

Brand Use, Content and Relationship

14. Intellectual Property and Brand Use

3D Labs Nutrition grants you a limited, revocable, nonexclusive, nontransferable permission to use approved brand materials solely for authorized promotion of the Program. You must not:

Alter our logos in a misleading way
Claim ownership of our intellectual property
Register confusingly similar trademarks or domains
Sublicense brand assets to any other party
Use brand materials after this Agreement ends
Imply employment, endorsement beyond your affiliate relationship, or authority to bind 3D Labs Nutrition

All goodwill arising from your use of our brand materials remains with 3D Labs Nutrition.

15. Content and Platform Compliance

You are responsible for your own websites, channels, accounts, statements, and conduct, and for complying with the rules of each platform you use. 3D Labs Nutrition may require you to remove or correct noncompliant content.

16. Independent Contractor Relationship

You are an independent contractor, not an employee, agent, franchisee, joint venturer, or legal representative of 3D Labs Nutrition. You cannot bind 3D Labs Nutrition or make commitments on its behalf, and this Agreement does not create any employment benefits.

Confidentiality, Privacy and Enforcement

17. Confidential Information

You must protect nonpublic Program information shared with you, such as private campaign materials, internal rates or future promotions not publicly released, customer or order information, security information, and business plans or confidential communications. Publicly available information is not considered confidential under this section.

18. Privacy and Data Handling

You must handle any personal information lawfully and securely. You must not collect unnecessary customer data, sell or misuse customer information, circumvent consent requirements, or represent that you have access to private 3D Labs Nutrition customer data. Review our Privacy Policy for more information on how we handle personal data.

19. Monitoring and Enforcement

3D Labs Nutrition may review affiliate activity, traffic, claims, referrals, and compliance with this Agreement. We may request documentation, remove or reverse improper commissions, suspend access, require correction or removal of content, or terminate participation. We are not required to provide advance notice in cases involving suspected fraud, security concerns, or legal risk.

Suspension, Changes and Legal Terms

20. Suspension and Termination

Either party may end your participation in the Program at any time. 3D Labs Nutrition may suspend or terminate your account for reasons including:

Violations of this Agreement
Fraud
Misleading claims
Prohibited promotion
Brand misuse
Legal or platform violations
Security concerns
Conduct harmful to customers or to 3D Labs Nutrition
Other material abuse of the Program

After termination, you must stop promoting the Program, remove any brand assets, and your dashboard access may end. Pending commissions remain subject to qualification, verification, reversal, and applicable law.

21. Program Changes

3D Labs Nutrition may update Program features, commission structures, tracking rules, promotional requirements, eligibility standards, and this Agreement. We will communicate material changes through reasonable methods, such as the website, dashboard, or email. Continued participation after an effective update constitutes acceptance of the update where permitted by law.

Changes do not apply retroactively to commissions that already qualified, unless required by law or needed to correct fraud or error.

22. Disclaimers

The Program is provided on an as-available basis. Tracking technology may occasionally fail, and participation does not guarantee traffic, sales, approval, or income. 3D Labs Nutrition does not guarantee uninterrupted access to the affiliate portal. You remain responsible for your own promotional decisions and legal compliance.

23. Limitation of Liability

To the extent permitted by law, 3D Labs Nutrition is not liable for indirect, incidental, special, consequential, or lost-profit damages arising from this Agreement or your participation in the Program. Nothing in this Agreement waives liability for fraud, willful misconduct, or any obligation that cannot legally be excluded.

24. Indemnification

You agree to defend and indemnify 3D Labs Nutrition against third-party claims arising from your unlawful conduct, misleading content, violations of this Agreement, intellectual-property infringement, privacy violations, or unauthorized representations you make in connection with the Program.

25. Governing Law and Venue

This Agreement is governed by the laws of the State of Wyoming, without regard to conflict-of-law principles.

Except where applicable law requires otherwise, the exclusive venue for any dispute arising from this Agreement is the state or federal courts with jurisdiction in Sheridan County, Wyoming.

26. General Terms

This Agreement, together with the incorporated policies referenced above, is the entire agreement between you and 3D Labs Nutrition regarding the Program. If any provision is found unenforceable, the remaining provisions continue in full force. Our failure to enforce any provision is not a waiver of that or any other provision. You may not assign this Agreement or your rights under it without our consent. We may communicate with you electronically, including by email, and such communications satisfy any legal requirement that they be in writing. Section headings are for convenience only. Provisions that by their nature should survive termination — including confidentiality, intellectual property, indemnification, limitation of liability, and governing law — remain in effect after this Agreement ends.
